End User License Agreement

IMPORTANT – READ CAREFULLY: This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and Heron AirBridge Pte. Ltd. (UEN: 202241349W) (“Licensor” or “We”) for the use of the AirBridge software application (“Software” or “App”). By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If You do not agree to the terms of this Agreement, do not install, access, or use the Software. 

License Grant

License: Subject to compliance with this Agreement, Licensor grants You a limited, non-exclusive, non-transferable, revocable license to install, access, and use the Software solely for personal and non-commercial purposes.

Restrictions: You may not: 

  • Use the Software for commercial purposes. 
  • Modify, distribute, sublicense, or create derivative works based on the Software. 
  • Reverse engineer, decompile, or disassemble the Software, except where such activity is expressly permitted by applicable law. 
  • Use the Software in any manner that violates any applicable laws or regulations. 
  • Reproduce, duplicate, or copy any portion of the Software. 

Ownership and Intellectual Property

The Software is licensed, not sold. All intellectual property rights in and to the Software remain the property of Licensor and its licensors. 

 No rights or licenses are granted to You except as expressly stated in this Agreement. 

Term and Termination

This Agreement is effective from the date You first install, access, or use the Software and will continue until terminated by either party. 

Licensor may terminate this Agreement at any time with or without cause, including if You breach any term of this Agreement. Your rights under this Agreement will also terminate automatically without notice if You fail to comply with any of its terms. 

Upon termination, you must cease all use of the Software and delete any copies in Your possession. 

Retention of Data: Licensor reserves the right to retain user data for a period of 30 to 60 days following termination, after which it will be permanently deleted. 

User Responsibilities

You agree to: 

  • Maintain the confidentiality of your account credentials and prevent unauthorized access. 
  • Comply with all applicable laws and regulations when using the Software. 
  • Use the Software only for lawful purposes and in accordance with this Agreement. 
  • Not interfere with or disrupt the Software or its associated networks. 

Maintenance, Downtime, and Service Levels

The Software is provided on a best-effort basis without any guarantees regarding uptime, performance, or availability. 

Licensor may perform scheduled maintenance or updates at any time, and You acknowledge that access to the Software may be interrupted temporarily. 

Licensor is not responsible for any data loss, delays, or unavailability due to maintenance, technical failures, or force majeure events. 

Disclaimer of Warranties

The software is provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 

Licensor does not guarantee that the software will be error-free or that its operation will be uninterrupted. 

Limitation of Liability

In no event shall licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this agreement or the use of the software, even if licensor has been advised of the possibility of such damages. 

Licensor’s total liability under this agreement shall not exceed the amount of fees paid by you for the software, which in this case is zero. 

Data Processing and Compliance

Personal Data Processing: Licensor may process personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) and the Personal Data Protection Act (PDPA). 

Consent for Data Collection and Processing: By using the Software, You consent to the collection, processing, and storage of your personal data as outlined in our Privacy Policy. If you do not agree with how your data is processed, please refrain from using the Software. 

Purpose Limitation: Personal data collected will only be used for the purposes of providing, maintaining, and improving the Software and related services, in accordance with the PDPA’s requirements for purpose limitation. 

Correction and Access Rights: You have the right to request access to and correction of your personal data by contacting us at the email address provided. Requests will be addressed within the statutory timelines as prescribed by the PDPA. 

Withdrawal of Consent: You may withdraw your consent for data collection and processing at any time by contacting us at utm@heron-technology.com. However, withdrawing consent may affect your ability to use certain features of the Software. 

Data Security: We implement reasonable security measures to protect your personal data against unauthorized access, disclosure, or destruction. These measures are in line with the requirements of the PDPA to ensure the confidentiality, integrity, and availability of personal data. 

Data Retention: We will retain your personal data for as long as necessary to fulfill the purposes for which it was collected, and in compliance with applicable laws. After that, we will delete or anonymize your data in a secure manner. 

Third-Party Services

The Software may integrate with or rely on third-party services. Licensor makes no warranties regarding these third-party services’ reliability, security, or availability and disclaims any liability for their performance or failures. 

Third-Party Data Compliance: If third-party services process any personal data on behalf of the Licensor, we ensure that these third parties comply with the PDPA’s requirements for data protection, including data security and confidentiality measures. 

General Terms

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws principles. 

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 

No Waiver: The failure of Licensor to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. 

Entire Agreement: This Agreement constitutes the entire agreement between You and Licensor regarding the Software and supersedes all prior agreements, whether written or oral.

Modification of Features and EULA

Licensor reserves the right to change, modify, or discontinue any features of the Software at any time without prior notice. 

Licensor may modify this EULA at any time. Your continued use of the Software following any changes will signify your acceptance of those changes. You are advised to regularly review this EULA and our Privacy Policy to stay informed about any changes. 

By installing, accessing, or using the software, you acknowledge that you have read, understood, and agreed to be bound by this agreement.
